Terms of Service

1. Scope and Acceptance

Oichi Equipment provides Sync Mushroom and related software, license, support, and documentation.
By accessing, installing, downloading, activating, or using the software, the user agrees to these Terms.
If the user does not agree, the user must not use the software.

2. Nature of the Software

Sync Mushroom is a manual execution support utility and discretionary trading infrastructure.
It does not provide automated trading, AI trading, investment advice, trading strategies, trading signals, brokerage services, asset management, financial data services, or profit guarantees.
All order actions must be initiated by the user’s own manual operation.

3. User Responsibility

All trading decisions, broker selection, account selection, lot size, order type, order parameters, stop loss, take profit, close action, risk management, and trading outcomes are the sole responsibility of the user.
Financial markets involve risk, and losses may occur.
Users must conduct sufficient testing in demo or non-production environments before using the software in live trading environments.

4. Local Environment and Third-Party Dependencies

The software depends on the user’s PC, operating system, browser, Chrome extension environment, network connection, MetaTrader 5 terminal, broker server, TradingView environment, external payment provider, and license verification system.
Oichi Equipment is not responsible for delays, disconnections, outages, order rejection, slippage, broker-side issues, TradingView-side issues, MetaTrader-side issues, device issues, user configuration errors, or failures caused by third-party systems.

5. License and Access

The user receives a non-exclusive, non-transferable, non-sublicensable right to use the software during the applicable license period.
The license period, access rights, update eligibility, and renewal conditions depend on the selected plan.
Oichi Equipment may suspend or terminate access in cases of unauthorized sharing, license abuse, reverse engineering, payment failure, violation of these Terms, or illegal use.

6. Fees and Payment

Fees are shown on the applicable pricing page, product page, checkout page, or payment page.
Prices may be displayed in USD, JPY, or other supported currencies depending on region, plan, and payment provider.
Payments are processed by external payment providers.
Taxes, bank fees, card issuer fees, currency conversion fees, communication fees, broker fees, and other related costs are the user’s responsibility unless expressly stated otherwise.

7. Refunds, Cancellations, and Digital Software

Due to the nature of digital software, digital access, and software licenses, refunds, returns, and cancellations after purchase are generally not accepted except where required by applicable law.
Subscription plans, if provided, must be cancelled through the applicable payment provider or prescribed cancellation process before the next renewal.
Fixed-term or one-time license plans do not renew unless expressly stated on the sales or checkout page.

8. Prohibited Conduct

Users must not reverse engineer, decompile, modify, redistribute, resell, lend, sublicense, share licenses without authorization, bypass license verification, overload systems, interfere with service operation, scrape, abuse, or use the software for illegal purposes.
Users must not use the software in a manner that violates applicable laws, broker terms, platform terms, or third-party rights.

9. Updates, Suspension, and Changes

Oichi Equipment may update, modify, suspend, discontinue, or change the software, related services, documentation, pricing, plans, or license conditions when necessary.
Compatibility may change due to updates or changes made by MetaTrader 5, TradingView, browsers, operating systems, brokers, payment providers, or other third parties.

10. Disclaimer of Warranty

The software is provided on an “as is” and “as available” basis.
Oichi Equipment does not guarantee uninterrupted operation, compatibility, execution success, accuracy, availability, profitability, suitability for a particular purpose, or freedom from defects.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Oichi Equipment is not liable for trading losses, lost profits, indirect damages, incidental damages, consequential damages, data loss, account loss, business interruption, broker failures, platform failures, network failures, user operation errors, or losses arising from use or inability to use the software.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan.
Any dispute arising from or relating to the software, service, license, or these Terms shall be subject to the jurisdiction of the courts having jurisdiction over the seller’s location in Japan, unless otherwise required by applicable law.
